1. Acceptance of These Terms

These Terms and Conditions (“Terms”) govern your access to and use of websites, mobile applications, and related services made available by Haythron LTD, including DiabetesConnect, CalorieConnect, AtlasWire, and future Haythron-branded products (collectively, the “Services”). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Service.

Your use of the Service is also subject to our Privacy Policy. Please read that policy carefully before using the Service.

You agree to use the Service only for lawful purposes and in accordance with these Terms.

4. Health and Medical Information Disclaimer

DiabetesConnect is intended to support health tracking, education, and personal management. It is not a substitute for professional medical advice, diagnosis, or treatment.

The Service may allow you to record, view, analyze, or organize health and wellness information, including nutrition or diabetes-related information. However:

  • the Service does not provide medical diagnosis

  • the Service does not replace a doctor, pharmacist, dietitian, or other qualified healthcare professional

  • you should not ignore or delay seeking professional medical advice because of information shown in the Service

  • any nutrition estimates, insights, calculations, or AI-generated outputs are for informational purposes only and may not always be accurate

If you have a medical emergency, contact your doctor or emergency services immediately.

5. Accounts

Some features of the Service may require you to create or use an Account.

When you create or use an Account, you agree to provide accurate, current, and complete information and to keep that information updated.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your Account. You must notify us promptly if you believe your Account has been accessed without authorization or if there has been any security breach.

We may suspend or terminate your Account if we reasonably believe you have violated these Terms or used the Service improperly.

6. Acceptable Use

You agree not to:

  • use the Service in any unlawful, fraudulent, or harmful way

  • interfere with or disrupt the operation or security of the Service

  • attempt to gain unauthorized access to accounts, systems, or data

  • upload, post, transmit, or share content that is unlawful, abusive, defamatory, threatening, obscene, infringing, or otherwise objectionable

  • impersonate another person or entity

  • use the Service to distribute spam, malware, or harmful code

  • misuse community, social, posting, reaction, messaging, or similar features

  • use automated means to scrape, copy, or access the Service without authorization

We may investigate misuse and take action including content removal, account suspension, or termination.

7. User Content

The Service may allow you to submit, upload, post, or otherwise make Content available.

You remain responsible for any Content you submit and for ensuring that you have the rights necessary to share it.

By submitting Content through the Service, you grant us a non-exclusive, worldwide, royalty-free license to host, store, reproduce, adapt, display, distribute, and otherwise use that Content only as reasonably necessary to operate, improve, promote, and provide the Service.

You represent and warrant that:

  • you own the Content or have the necessary rights to submit it

  • your Content does not violate any law or third-party rights

  • your Content does not infringe intellectual property, privacy, publicity, or contractual rights of others

We may remove or restrict Content that we believe violates these Terms or may harm the Service, users, or third parties.

8. Feedback

If you provide Feedback to us, you agree that we may use it without restriction or compensation to you. This includes the right to use, reproduce, modify, adapt, publish, and incorporate your Feedback into the Service or our business operations.

9. Subscriptions and In-App Purchases

Certain features of the Service may be offered through paid Subscriptions or other In-App Purchases.

All In-App Purchases are processed through the relevant Application Store, such as:

  • Apple App Store

  • Google Play Store

By purchasing a Subscription or other In-App Purchase, you agree that:

  • billing, payment processing, renewals, and refunds are handled by the relevant Application Store

  • your purchase is also subject to that store’s own terms, policies, and refund rules

  • we do not store your full payment card details

9A. EndoMind: Physician Eligibility and Prepaid Credits

EndoMind is part of Haythron Intelligence. This section applies specifically to EndoMind and takes priority over any conflicting general subscription or app-store purchase provisions in these Terms. It does not restrict eligibility for other Haythron products.

Physicians only. Access to and use of EndoMind is limited to licensed physicians using it in their professional capacity. You must hold current registration or a licence to practise medicine in your jurisdiction and provide accurate professional details if requested. You must not share access with ineligible users, misrepresent your qualifications, or continue using EndoMind if you cease to meet these requirements. We may request evidence of eligibility and restrict access where eligibility cannot be established.

Professional responsibility. EndoMind provides AI-generated information to support review of evidence in adult endocrinology and diabetes. Outputs and citations may be inaccurate, incomplete, or out of date. You must independently check the underlying sources, local guidance, and relevance to the clinical situation. EndoMind does not replace independent clinical judgment, establish a clinician-patient relationship, or provide an emergency service. You remain responsible for clinical decisions and patient care. Do not submit information that identifies a patient or other confidential information you are not authorised to disclose.

Credit purchases. EndoMind credits may be offered in packages with different prices and credit quantities. Unless clearly stated otherwise before purchase, one credit pays for one question. Credits are prepaid access to EndoMind and are not a recurring subscription. The current packages, currency, applicable taxes, final payable total, and any applicable credit-use or expiry conditions will be shown on the pricing page or at checkout before purchase. The package terms displayed when you complete a purchase govern the price paid and number of credits supplied for that purchase. Credits are for use in your own EndoMind account and cannot be transferred, resold, or used with other Haythron products. Credits are not money or a cash-withdrawal facility; refunds are governed by the refund policy and applicable law.

Web payments. The payment provider or seller handling your transaction will be identified at checkout. Its applicable payment terms will be available before you pay. We do not store full payment card details. Keep your receipt and contact support if your credit balance or a charge appears incorrect.

Refunds. You may request a refund within 7 calendar days of purchase for unused paid credits from that purchase. Where some credits have been used, the refund covers only the unused portion, calculated using the price actually paid. Used credits and requests after 7 days are not refundable under this voluntary policy. Free or promotional credits have no refundable purchase value. Refunded credits are removed from your balance. See the EndoMind refund policy for the request process. Mandatory legal rights, including any longer cancellation period or rights relating to faulty or misdescribed services, and additional rights under applicable seller terms remain unaffected.

Availability. Public EndoMind application access and credit purchases are currently coming soon. Publication of pricing does not itself provide access or accept an order. Before paid access opens, the purchase and question-submission flow will explain the applicable charging rules. Future changes to pricing apply to future purchases and will not retrospectively reduce the question entitlement of credits already purchased.

10. Subscription Renewals and Cancellation

If you purchase a recurring Subscription, it may automatically renew unless you cancel it through the relevant Application Store before the renewal date.

You are responsible for managing and cancelling your Subscription through your Apple App Store or Google Play Store account settings where applicable.

Unless required by law or otherwise provided by the Application Store’s policies, Subscription fees already paid are non-refundable.

11. Pricing and Changes to Paid Features

We may change pricing, subscription plans, features, or availability of paid services from time to time.

Where required, changes to recurring subscriptions will take effect in accordance with the rules of the relevant Application Store and applicable law.

We may also modify, replace, suspend, or discontinue any part of the Service at any time.

12. Promotions and Trials

From time to time, we may offer free trials, promotional pricing, temporary access, or other offers. These may be subject to additional terms.

We may modify or withdraw promotions or trial offers at any time, to the extent permitted by law and applicable platform rules.

13. Intellectual Property

The Service, including its design, branding, software, features, functionality, text, graphics, logos, and other materials, is owned by or licensed to Haythron LTD and is protected by intellectual property laws.

Except as expressly permitted in these Terms, you may not copy, modify, reproduce, distribute, license, sell, reverse engineer, or otherwise exploit any part of the Service without our prior written consent.

DiabetesConnect and related branding may not be used without permission.

14. Copyright Complaints

We respect the intellectual property rights of others. If you believe that any content on the Service infringes your copyright or other intellectual property rights, please contact us with sufficient detail so we can review the issue.

Please include:

  • your contact details

  • identification of the work you believe is infringed

  • identification of the material you want reviewed or removed

  • an explanation of the basis of your complaint

15. Third-Party Services

The Service may contain links to or integrations with Third-Party Services, including app stores, analytics services, advertising services, authentication services, social media platforms, and other external providers.

We do not control Third-Party Services and are not responsible for their content, availability, terms, or privacy practices. Your use of Third-Party Services may be subject to their own terms and policies.

16. Availability and Changes to the Servic

We may update, modify, suspend, or discontinue all or part of the Service at any time, with or without notice.

We do not guarantee that the Service will always be available, uninterrupted, secure, or error-free, or that defects will always be corrected.

17. Termination

We may suspend or terminate your access to the Service or your Account at any time if we reasonably believe that:

  • you have violated these Terms

  • you are misusing the Service

  • your use creates legal, security, technical, or reputational risk

  • termination is necessary to protect users, the Service, or third parties

You may stop using the Service at any time. If you wish to terminate your Account, you may contact us or use any account deletion tools we make available.

18. Disclaimers

The Service is provided on an “AS IS” and “AS AVAILABLE” basis, to the fullest extent permitted by law.

We do not guarantee that:

  • the Service will meet your requirements

  • the Service will always be accurate, complete, or up to date

  • the Service will be uninterrupted, secure, or error-free

  • any data, insights, calculations, AI outputs, or recommendations will always be accurate, reliable, or suitable for your needs

To the fullest extent permitted by law, we disclaim all warranties, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

19. Limitation of Liability

To the fullest extent permitted by law, Haythron LTD and its affiliates, licensors, service providers, and partners will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunity arising out of or related to your use of, or inability to use, the Service.

To the fullest extent permitted by law, our total liability for any claim arising out of or relating to the Service will not exceed:

  • the amount you paid to us through the Service in the 12 months before the claim arose, or

  • USD 100, if you have not made any payment through the Service,

whichever is greater.

Nothing in these Terms excludes or limits liability that cannot be excluded by applicable law.

20. Indemnity

You agree to indemnify and hold harmless Haythron LTD and its affiliates, officers, representatives, licensors, and service providers from and against claims, liabilities, damages, losses, and expenses arising out of or related to:

  • your use of the Service

  • your Content

  • your violation of these Terms

  • your violation of any law or third-party rights

21. Privacy

Your use of the Service is also governed by our Privacy Policy, which explains how we collect, use, and protect your information.

22. Governing Law

These Terms are governed by the laws of England and Wales, without regard to conflict of law principles, except where mandatory consumer protection laws in your country of residence apply.

23. Dispute Resolution

If you have a concern, complaint, or dispute about the Service, you agree to contact us first and try to resolve the matter informally.

Contact: support@haythron.com

If you are a consumer living in a jurisdiction with mandatory consumer rights, those rights remain unaffected.

24. Severability and Waiver

If any provision of these Terms is found to be invalid, unlawful, or unenforceable, the remaining provisions will continue in full force and effect.

Our failure to enforce any provision of these Terms is not a waiver of that provision or any other provision.

25. Changes to These Terms

We may update these Terms from time to time. When we do, we will update the “Last updated” date above.

If we make material changes, we may provide notice through the Service or by other reasonable means. By continuing to use the Service after updated Terms take effect, you agree to the revised Terms.
